Sales:  Cooling Tower Systems sells its goods on the expressed condition that the buyer agrees to the terms and conditions stated hereon. The buyer relinquishes any inconsistent or additional terms included in any purchase order. The buyer's acceptance and receipt of the goods shall compose any agreement to such terms and conditions.

Acceptance:  All orders are subject to Cooling Tower Systems and Sales department approval and acceptance. Cooling Tower Systems reserves the right to end further delivery upon the buyer's failure to pay any portion of any order, when it becomes due. If the buyer's financial condition becomes unsatisfactory, Cooling Tower Systems may require cash payments or satisfactory security for future deliveries or goods already delivered.

Cancellation:  Buyer shall not cancel the order without prior written consent of Cooling Tower Systems.

Deliveries:  Cooling Tower Systems shall not be liable for delays in delivery due to causes beyond its reasonable control including but not limited to strikes, fire, war, or acts of God, whether such events occur at or about our warehousing facilities or at the warehousing facilities of our suppliers. Cooling Tower Systems makes no guarantee of shipment by any such date and shall have no liability or other debt for failure to ship on such date due to any cause.

Shipping:  The price of all products is F.O.B. Cooling Tower Systems warehousing facilities. Title to goods passes to the buyer upon deliver by Cooling Tower Systems to the freight line. Buyer assumes risk for all goods shipped. The buyer should examine shipments carefully for loss or damages before accepting the shipment. The buyer should have loss and damage noted by transportation agent on the freight bill when accepting delivery. Upon discovery of concealed damage the buyer has fifteen (15) days from receipt of goods to call the freight line for an inspection. In either case, the buyer cannot return equipment to Cooling Tower Systems until completion of a freight inspection. In absence of shipping instructions, Cooling Tower Systems shall use its own discretion in choice of carrier.

Return Policy:  Cooling Tower Systems accepts only new and unused material returned for credit. Cooling Tower Systems will charge a minimum of 20% for restocking all material accepted for credit. Buyer must return all goods freight prepaid. Cooling Tower Systems will not accept any goods returned after thirty days.

Cash Discount & Terms:  Cooling Tower Systems may charge 1.5% each month on all sums more than thirty (30) days past due. The first charge will be added on the sixty-first (61st) day after the date of invoice. A 2% cash discount on parts and equipment will be issued if the invoice is paid within ten (10) days after invoice.
